👨‍⚖️ Paramount Sues WBD

The conflict surrounding the sale of Warner Bros. Discovery (WBD) has entered a heated phase. Paramount CEO David Ellison has filed a lawsuit against WBD, demanding disclosure of the financial details of its deal with Netflix.

In December 2025, Netflix agreed to acquire WBD’s studio assets for $83 billion, rejecting Paramount’s more generous offer.

Paramount accuses WBD’s management of failing to explain to shareholders how the Netflix deal was valued and why Paramount’s proposal was deemed “risky.”

Ellison intends to nominate his own slate of directors to WBD’s board in order to block the sale to a competitor.

Paramount will also propose an amendment to WBD’s charter that would prohibit the separation of the company’s global networks without direct shareholder approval.

Ellison is confident that the fate of the deal will be decided by shareholder votes. The battle for control of one of the world’s largest film studios promises to become the biggest corporate thriller of 2026.
