The fight to acquire Warner Bros. Discovery (WBD) has entered the regulatory war phase.

This week, representatives from Netflix and Paramount held separate meetings with the European Commission to discuss the deal’s future.

The European Commission is concerned that acquiring Warner Bros. studios, HBO, and HBO Max would make Netflix too dominant a player in the European market.

To speed up the process and win over shareholders, Netflix plans to switch entirely to a cash payment structure.

The Ellison family (Paramount owners) isn’t giving up. They’ve sued WBD, demanding disclosure of the Netflix deal valuation details, and plan to install their people on the board to derail the merger.

While Netflix currently leads, Paramount hopes to block the deal through antitrust authorities, turning the acquisition into the year’s biggest corporate drama.
